ART LICENSING AGREEMENT

This Art Licensing Agreement (“Agreement”) is entered into as of [Effective Date], by and between:

ABCartsy, owned and operated by Johnnie Jones Jr. (“Licensor”),
and
[Hotel Company Name], with principal offices at [Address] (“Licensee”).

1. Artwork

Licensor agrees to provide customized artwork and/or curated art collections (“Artwork”) as described in Exhibit A, which is incorporated into this Agreement by reference.

2. License Grant

Licensor grants Licensee a limited, non-exclusive, non-transferable, and non-sublicensable license to display the Artwork solely for commercial display purposes within Licensee’s approved hospitality properties, as listed in Exhibit A.

No ownership rights are transferred. All rights not expressly granted are reserved by Licensor.

3. Permitted Use

The Artwork may be displayed in the following hospitality spaces:

✔ Guest rooms
✔ Lobbies
✔ Corridors
✔ Lounges and common areas
✔ Other approved areas listed in Exhibit A

The following uses are not permitted without prior written consent from Licensor:

🚫 Resale of the Artwork
🚫 Sublicensing or transfer to third parties
🚫 Reproduction for merchandise, advertising, or marketing materials

4. Exclusivity (Optional)

Exclusivity applies only if purchased and confirmed in writing and shall be limited to the scope specified below and in Exhibit A:

Exclusivity does not restrict Licensor from selling similar styles, concepts, or artwork to other industries or markets outside the agreed exclusivity scope.

5. Term

Unless otherwise stated in Exhibit A, this Agreement shall remain in effect for a period of two (2) years from the Effective Date.

The license term may be renewed upon mutual written agreement between the parties.

6. Fees & Payment

Licensee agrees to pay the following fees:

Late payments may result in suspension of usage rights until payment is brought current.

7. Intellectual Property

All intellectual property rights in and to the Artwork remain the sole and exclusive property of ABCartsy.

This Agreement grants a license only and does not constitute a sale or transfer of ownership.

8. Termination

Either party may terminate this Agreement for material breach by the other party, provided that:

Written notice is given, and
The breaching party is allowed thirty (30) days to cure the breach.

Upon termination or expiration of this Agreement, Licensee shall, within sixty (60) days, remove the Artwork from display. Removal may include physical removal or documented destruction of reproductions.

9. Indemnification

Each party agrees to indemnify and hold harmless the other from any claims, damages, or liabilities arising from its own negligence, misuse, or breach of this Agreement.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without regard to conflict of law principles.

11. Entire Agreement

This Agreement, together with Exhibit A, constitutes the entire agreement between the parties and supersedes all prior discussions or understandings, whether written or oral.

Any amendments must be made in writing and signed by both parties.
